1. Acceptance of Terms

Welcome to Flynnstone Flip ("Service," "Platform," "we," "our," or "us"). By accessing or using our ad monetization platform for ChatGPT applications, you ("Publisher," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

These Terms constitute a legally binding agreement between you and Flynnstone Flip. We reserve the right to modify these Terms at any time, and your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use Flynnstone Flip, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal authority to enter into binding contracts
• Operate a legitimate ChatGPT application or AI-powered service
• Comply with all applicable local, state, national, and international laws
• Not be located in a country subject to U.S. trade sanctions or embargoes
• Not be listed on any U.S. government list of prohibited or restricted parties

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Publisher Account

3.1 Registration

To use the Service, you must create a Publisher account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breaches
• Keeping your account information (email, payment details, tax forms) up to date

3.2 Account Verification

We may require identity verification, business documentation, tax forms (W-9 or W-8), and app review before activating your account. We reserve the right to reject applications that do not meet our quality or compliance standards.

3.3 Account Suspension or Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activity
• Generate invalid traffic or clicks
• Fail to comply with payment obligations
• Provide false or misleading information

4. Service Description

4.1 Ad Serving

Flynnstone Flip provides an ad monetization platform that integrates with your ChatGPT application to serve contextual advertisements. Our Service includes:

• Real-time ad bidding via OpenRTB 2.6 protocol
• Integration with premium demand partners (Magnite, Google, Amazon)
• Contextual ad targeting based on conversation content
• FlipID cross-app targeting (optional, requires user consent)
• Revenue tracking and analytics dashboard
• Publisher API and SDK for easy integration

4.2 Revenue Share

Publishers receive 70% of net ad revenue after deducting:

• Demand partner fees (typically 10-20% of gross revenue)
• Payment processing fees (Stripe/PayPal transaction fees)
• Chargebacks and refunds (if applicable)

Revenue share percentages are subject to change with 30 days' notice. Publishers with high-volume traffic may qualify for custom revenue share agreements.

4.3 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free service. We may suspend the Service for maintenance, updates, or emergency repairs with reasonable notice when possible.

5. Publisher Responsibilities

5.1 Content Policies

Your application and content must not:

• Contain illegal, harmful, threatening, abusive, defamatory, or obscene material
• Promote violence, hate speech, or discrimination
• Infringe intellectual property rights of others
• Distribute malware, viruses, or malicious code
• Facilitate illegal activity (gambling, drug sales, weapons trafficking)
• Contain sexually explicit or adult content (without explicit approval)
• Target children under 13 (COPPA compliance required)
• Mislead users about ad placement or sponsored content

5.2 Traffic Quality

You must ensure that all traffic to your application is genuine and organic. Prohibited practices include:

• Click Fraud: Generating artificial clicks or impressions
• Bot Traffic: Using bots, scripts, or automated tools to inflate metrics
• Incentivized Clicks: Paying or rewarding users for clicking ads
• Traffic Exchanges: Participating in click or traffic exchange programs
• Misleading Placement: Hiding ads, placing ads near confusing UI elements, or forcing clicks

We use sophisticated fraud detection systems. Invalid traffic will result in revenue clawbacks and account termination.

5.3 User Consent and Privacy

You must:

• Obtain user consent for data collection as required by GDPR, CCPA, and other privacy laws
• Provide a clear privacy policy that discloses ad serving and data collection
• Implement a cookie consent banner for EU users (if applicable)
• Allow users to opt out of FlipID targeting
• Honor Do Not Track (DNT) signals and user opt-out preferences
• Comply with all applicable data protection and privacy regulations

5.4 SDK Integration

When integrating our SDK, you must:

• Use the official Flynnstone Flip SDK (not modified or reverse-engineered versions)
• Keep the SDK updated to the latest version for security and performance
• Follow integration guidelines and best practices documented in our API reference
• Not circumvent, disable, or interfere with SDK functionality or reporting

6. Payment Terms

6.1 Payment Schedule

Payments are processed on a Net-30 basis:

• Revenue earned in January is paid by the end of February
• Minimum payout threshold: $100 USD
• Balances below the threshold roll over to the next month
• Payments via ACH (US), wire transfer (international), or PayPal

6.2 Tax Compliance

Publishers are responsible for:

• Providing valid tax forms (W-9 for US entities, W-8 for international)
• Reporting revenue as taxable income in your jurisdiction
• Paying all applicable taxes, including self-employment tax
• Receiving Form 1099-MISC (US publishers earning $600+)

We may withhold payments if required tax documentation is not provided.

6.3 Disputes and Chargebacks

If you dispute a payment calculation:

• Submit disputes within 30 days of payment
• Provide detailed documentation (timestamps, impression logs, etc.)
• We will investigate and respond within 15 business days

We reserve the right to withhold or claw back payments for invalid traffic, fraud, or Terms violations.

7. Intellectual Property

7.1 Flynnstone Flip Ownership

All intellectual property rights in the Service, including software, APIs, documentation, trademarks, and logos, belong to Flynnstone Flip. You receive a limited, non-exclusive, non-transferable license to use the Service for monetization purposes only.

7.2 Publisher Content

You retain ownership of your application and content. By using the Service, you grant Flynnstone Flip a worldwide, royalty-free license to:

• Analyze conversation context for ad targeting
• Display your app name and description in case studies or promotional materials (with permission)
• Store and process user interactions for analytics and fraud detection

7.3 Trademark Usage

You may use the "Powered by Flynnstone Flip" badge in your app (optional but encouraged). You may not use our trademarks in a way that suggests endorsement, sponsorship, or affiliation without written permission.

8. FlipID Program (Optional)

8.1 How FlipID Works

FlipID is an optional, privacy-preserving identity system that enables cross-app behavioral targeting:

• Users provide their email address and consent to data sharing
• Email addresses are hashed using SHA-256 (never stored in plain text)
• Hashed identifiers are used to build aggregated behavioral profiles
• Advertisers can target users across FlipID-enabled apps for higher CPMs

8.2 Publisher Requirements

If you enable FlipID, you must:

• Obtain explicit, informed consent from users before collecting emails
• Provide a clear explanation of how FlipID works and its benefits
• Allow users to opt out at any time
• Comply with GDPR consent requirements (explicit, informed, freely given)
• Update your privacy policy to disclose FlipID data sharing

8.3 Revenue Uplift

FlipID-enabled impressions typically earn 2-3x higher CPMs due to improved targeting. Revenue uplift varies by audience and advertiser demand.

9. Warranties and Disclaimers

9.1 Publisher Warranties

You warrant that:

• You own or have the right to monetize your application
• Your app and content comply with all applicable laws
• You will not engage in fraudulent or deceptive practices
• All information provided to Flynnstone Flip is accurate and complete

9.2 Service Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Guarantees of specific revenue amounts or fill rates
• Uninterrupted, secure, or error-free operation
• Compatibility with all applications or platforms

10. Limitation of Liability

To the maximum extent permitted by law, Flynnstone Flip shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, errors, or security breaches
• Actions of third-party advertisers or demand partners
• Invalid traffic or fraudulent activity by end users

Our total liability to you for all claims arising from the Service shall not exceed the amount paid to you in the 12 months preceding the claim, or $500, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flynnstone Flip, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms or applicable laws
• Your application content or user interactions
• Infringement of third-party intellectual property rights
• Privacy violations or unauthorized data collection
• Fraudulent activity or invalid traffic

12. Termination

12.1 Termination by Publisher

You may terminate your account at any time by:

• Submitting a termination request via the dashboard or email
• Removing the Flynnstone Flip SDK from your application
• Providing 7 days' notice for final payment processing

12.2 Termination by Flynnstone Flip

We may terminate or suspend your account immediately for:

• Violation of these Terms or our policies
• Fraudulent activity or invalid traffic
• Non-payment of fees or chargebacks
• Legal or regulatory compliance requirements
• Prolonged inactivity (no revenue for 6+ months)

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• Final payment processed within 60 days (after fraud review period)
• We may retain data as required by law or for dispute resolution
• Provisions regarding liability, indemnification, and IP ownership survive termination

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.

Exception: Either party may seek injunctive relief in court to protect intellectual property rights.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative proceedings.

14. Modifications to Terms

We may modify these Terms at any time by:

• Posting the updated Terms on our website
• Sending email notification to your registered email address
• Providing at least 30 days' notice for material changes

Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must terminate your account before the effective date.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Flynnstone Flip regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor without notice.

15.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.
